Robert's Rules of Order
A widely adopted parliamentary procedure manual that many HOA Bylaws reference as the meeting protocol.

What it means
Robert's Rules of Order is a parliamentary procedure manual originally published in 1876 and now in its 12th edition. Many HOA Bylaws specify Robert's Rules as the default meeting protocol — meaning motions, seconds, votes, and amendments are handled per the Rules unless the Bylaws or a board resolution provides otherwise. The full Rules are dense; most boards in practice use a 'Robert's Rules light' approach — making, seconding, and voting on motions, recognizing speakers, and using the chair's authority to keep order — without invoking the more specialized procedures (point of order, division of the assembly, postponement to a date certain) unless there's a specific need.
Why it matters
When a meeting goes off the rails — disputed votes, owner interruptions, motions to adjourn — knowing what the Rules say about the procedure is what keeps the chair in control. Boards that ignore their own Bylaws-incorporated procedure can find their decisions invalidated on procedural grounds.
Example
An owner attempts to vote on a budget motion in open session. The Bylaws say members can speak but cannot vote in board meetings. The chair, citing Robert's Rules and the Bylaws, rules the owner out of order and proceeds to the directors' vote. The vote stands.
