Resale Certificate

A package the HOA delivers to a buyer disclosing the governing documents, financials, and any pending issues.

What it means

A resale certificate (sometimes called a resale package or closing package) is the document set the HOA is required to deliver to a prospective buyer in most states. It typically includes the governing documents (Declaration, Bylaws, Rules), recent financial statements, the current budget, the reserve study or summary, pending litigation, current and pending assessments, insurance information, and a statement of any open violations against the unit being sold. Most state statutes set strict timelines for delivery and rights of rescission for buyers who don't receive the package on time. The resale certificate is the buyer's formal opportunity to learn what they're buying into.

Why it matters

Buyers who feel they were not properly informed are a major source of post-closing disputes — and most state statutes give them remedies if the resale package was incomplete or late. Boards and managers who treat resale packages as a checkbox are setting up future fights.

Example

A buyer closes on a unit and learns three months later that the HOA had voted in a $3,000 special assessment payable next quarter. If the assessment was approved before the resale package was delivered and was not disclosed, the buyer may have a claim against the seller and possibly the association.
